1. Acceptance of Terms
By accessing or using the website at claycounting.com or purchasing any services from Clay Counting Financial ("we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our site or services.
2. Services
Clay Counting Financial provides remote bookkeeping services on a monthly subscription basis, including transaction reconciliation, financial reporting, and related support as described in your selected plan. Our services are limited to bookkeeping and financial record-keeping.
We do not provide legal advice, tax advice, accounting opinions, or CPA services. For tax filing, audit representation, or legal matters, please consult a licensed CPA or attorney.
3. Subscriptions and Payment
- Subscriptions are billed monthly in advance via Stripe.
- All fees are in US dollars and are non-refundable unless otherwise stated.
- By providing payment information, you authorize us to charge your payment method on a recurring monthly basis.
- We reserve the right to change pricing with 30 days written notice to your registered email address.
- Failed payments may result in suspension of services until the outstanding balance is resolved.
4. Cancellation
You may cancel your subscription at any time by contacting us at contact@claycountingfinancial.com. Cancellations require 30 days written notice. You will continue to have access to services through the end of your current billing period. No partial refunds are issued for unused portions of a billing cycle.
5. Client Responsibilities
To receive our services, you agree to:
- Provide accurate, complete, and timely financial records and documentation as requested.
- Notify us promptly of any changes to your business structure, accounts, or financial situation that may affect our work.
- Review all reports and deliverables we provide and notify us of any discrepancies within 14 days of delivery.
- Maintain your own backups of financial records — we are not responsible for data loss on your end.
The accuracy of our work depends on the accuracy of information you provide. We are not liable for errors resulting from incomplete or incorrect information supplied by you.
6. Confidentiality
We treat all client financial information as strictly confidential. We will not disclose your financial information to third parties except as necessary to deliver our services (e.g., integrations you have authorized) or as required by law.
7. Intellectual Property
All content on this website — including text, design, graphics, and code — is the property of Clay Counting Financial and may not be copied, reproduced, or distributed without written permission. Financial reports and deliverables we produce for you are yours to use freely once delivered.
8. Limitation of Liability
To the fullest extent permitted by law, Clay Counting Financial shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including but not limited to errors in financial records, missed tax deadlines, or business losses.
Our total liability to you for any claim arising from these terms or our services shall not exceed the total fees paid by you to us in the three months preceding the claim.
9. Prohibited Use
You agree not to use our website or services to:
- Violate any applicable law or regulation
- Submit false or misleading financial information
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the website
- Engage in any activity that is fraudulent or harmful to us or other users
10. Termination
We reserve the right to suspend or terminate your access to our services at any time, with or without notice, if we believe you have violated these terms or if continued service would expose us to legal, financial, or reputational risk. In such cases, we will provide a prorated refund for any unused prepaid service at our discretion.
11. Governing Law
These Terms & Conditions are governed by the laws of the United States. Any disputes arising from these terms shall be resolved through good-faith negotiation first, and if necessary, binding arbitration under the rules of the American Arbitration Association.
12. Changes to These Terms
We may update these Terms & Conditions from time to time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
